CONFLICT OF INTEREST POLICY ( as signed by each board member individually)           

A conflict of interest is defined as an actual or perceived interest by a member of the Board of Directors in an action that results in (or has the appearance of resulting in) personal, organizational, or professional gain. Conflicts of interest occur when a Board Director has a direct or fiduciary interest which results in:
            Employment by ShelterCare
            Contractual or consultative relationship with ShelterCare
            Creditor or debtor to ShelterCare
A conflict of interest may include bias or appearance of bias in the decision-making process that would reflect a dual role played by a member of the organization. Conflicts of interest may occur if the individual has:
            A consumer relationship with the agency
            A supervisory, licensing, or authority relationship with the agency
It is in the interest of the organization and members of the Board of Directors to strengthen trust and confidence in each other, to expedite resolution of problems, to mitigate the effect and to minimize organizational and individual stress that can be caused by a conflict of interest.
We, the Directors of ShelterCare, resolve that no member of the Board of Directors shall participate in any discussion or vote on any matter in which he or she or a member of his or her immediate family has conflict of interest due to having material economic involvement regarding the matter being discussed. We resolve that no member of the Board of Directors shall participate in any discussion or vote on any matter in which he or she may have a dual role with the organization. When such a situation presents itself, the director must announce his or her conflict, disqualify himself or herself, and refrain from deliberation of and voting on the matter. Directors of the Board will disclose will disclose and potential conflicts prior to engaging in discussion and decision. At that time, the Board or Directors will determine whether a conflict exists. The President of the meeting is expected to make inquiry if such conflict appears to exist and the board member has not made it known.
